1. Agreement to Terms
These Terms of Service (the "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "Customer"), and SLV TECHNOLOGIES PVT. LTD. and our US affiliate SLV TECHNOLOGIES INC (collectively, "StaffSync360," "we," "us," or "our"), concerning your access to and use of the StaffSync360 platform, website, and related services (collectively, the "Service").
By creating an account, signing an order form, or using our Service, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms, you are expressly prohibited from using the Service.
2. Provision of Service & License
2.1 License Grant
Subject to your compliance with this Agreement and payment of applicable fees, StaffSync360 grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes of candidate tracking, recruitment, and client management.
2.2 Restrictions
You agree not to, and will not permit any third party to:
- License, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Service.
- Modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Service.
- Access the Service in order to build a similar or competitive product or service.
- Use the Service for any illegal, unauthorized, or unethical purpose, including sending spam or unsolicited communications.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
3. Customer Data and Privacy
3.1 Ownership of Customer Data
You retain all right, title, and interest in and to all data, resumes, candidate information, and materials you upload, post, or store in the Service ("Customer Data"). You are solely responsible for the accuracy, quality, integrity, legality, and intellectual property ownership of all Customer Data.
3.2 Data Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy. Where applicable, both parties agree to comply with relevant data protection laws (including GDPR and CCPA).
3.3 AI Features and Data Processing
StaffSync360 may use artificial intelligence ("AI") tools to provide features such as resume parsing and candidate matching. We do not use Customer Data to train our underlying AI models unless explicitly authorized. Customer Data remains confidential and is only processed to provide the Service directly to you.
4. Fees, Payment, and Refunds
4.1 Fees
You agree to pay all fees in accordance with the pricing and billing terms in effect at the time a fee or charge is due and payable. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
4.2 Renewals and Cancellations
Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.

Please refer to our Refund Policy for detailed information regarding subscription cancellations, trial periods, and refund eligibility.
5. Service Availability and Support
We strive to make the Service available 24 hours a day, 7 days a week, except for planned downtime for maintenance (of which we will give advance notice) and circumstances beyond our reasonable control (e.g., acts of God, natural disasters, internet service provider failures).
Standard support is provided via email and in-app chat during regular business hours. Premium support is available based on your subscription tier.
6. Limitation of Liability and Disclaimer
6.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
6.2 Limitation of Liability
IN NO EVENT SHALL STAFFSYNC360 OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India (for customers contracting with SLV TECHNOLOGIES PVT. LTD.) or the State of Georgia, USA (for customers contracting with SLV TECHNOLOGIES INC), without regard to its conflict of law principles.
